TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your use of https://vitalcarelinks.co.uk and https://book-a-pharmacy.vitalcarelinks.co.uk ("the Websites") and services offered ("Services"). By accessing or using the Websites or Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Websites or Services.

The Websites and Services are owned and operated by Vital Care Links Ltd, registered in England and Wales under number 15815933 (“Vital Care Links Ltd”, “We”, “Us”, “Our”) and developments are supported by Stackworx Ltd, registered in England and Wales under number 13345843 (“We”, “Us”, “Our”). "You" and "your" means you as the user or Subscriber of the Websites and Services.

1. ACCEPTANCE OF TERMS

By accessing the Websites or using our Services you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Websites on behalf of an organisation, you represent that you are authorised to accept these Terms on behalf of that organisation.

We reserve the right, where necessary, to make changes to the Websites or Services and to vary or update these Terms at any time in which case up to date versions of such Terms will be available via the Websites. Any changes will be posted on this page with the "Effective Date" updated. You will be deemed to have accepted any changes to the Terms after you have been notified of the changes on the Websites and/or if you continue to access or use the Websites or Services, where the updated Terms will be available for you to view. 

These Terms only apply to the Websites and Services and do not apply to third party websites and services that you can access via the Websites.

Please note that additional Terms govern the relationship between us and our Subscribers. If you are an existing Subscriber, please check the Service Agreement provided to you when you subscribed. 2. USE OF SERVICES

2.1 Using The Websites Or Services

The Websites aim to bring into contact health-related service providers and those seeking to access such services. You agree to use the Websites and Services only for lawful purposes and in accordance with these Terms, regardless of the method you have used to access the Websites or Services, including but not limited to the internet or mobile phone. 

2.2 Access 

Access to the Websites and Services is permitted on a temporary basis. We reserve the right to withdraw or amend the Websites and Services without notice. We will not be liable if for any reason the Websites or Services are unavailable at any time or for any period. Access to the Websites or Services may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for any reason beyond our control.

Services and information on our Website are not intended as advice and should not be considered or relied upon as such. We disclaim all liability and responsibility arising from reliance placed on such information to the fullest extent permissible by applicable laws.

You are responsible for making necessary arrangements to access and view the Websites and Services and should ensure you have up-to-date anti-virus software on the device(s) you use to access the Websites or Services.

2.3 Patient users

By using the Websites and Services to find healthcare providers, search for services or make bookings, you agree to the following:

• Healthcare providers, including our Subscribers, take full ownership and responsibility for providing accurate information on the services they provide, how much they cost and when they are available; 
• You acknowledge that there may be a delay to your appointment if the provider has to deal with an emergency or other priority. We are not liable for appointment delays, changes or cancellations;
• Healthcare providers, including our Subscribers, reserve the right to amend your booking if the booked service is not deemed suitable for you;
• Healthcare providers reserve the right to ask for medical information or a medical history to provide you with the most appropriate advice and/or treatment;
• Healthcare providers reserve the right to charge for providing a service or treatment.

We are not responsible for overseeing, regulating, or otherwise managing care, services, advice and/or treatment provided by a healthcare provider.

2.4 Misuse Of The Websites Or Services

You must not knowingly introduce viruses, trojans, worms, logic bombs, time bombs, keystroke loggers, spyware, adware or other material, programme or code which adversely affects the operation of any computer software or hardware (or is designed to do so).

You must not use automated systems to access the Websites or engage in unauthorised data mining.

You must not access, store, distribute or transmit any material during the course of using the Websites or Services that:

• Is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing, racially or ethnically offensive, or otherwise objectionable;
• Facilitates illegal activity;
• Depicts sexually explicit images;
• Promotes unlawful violence;
• Is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability;
• Is otherwise illegal or causes damage or injury to any person or property; or
• Can cause annoyance, inconvenience or needless anxiety,

We reserve the right, without liability or prejudice to its other rights to you or our Subscribers, to disable your access to any material that breaches these provisions.

You agree not to use the Websites or Services to infringe upon the intellectual property rights of others. See clause 3 for further details. 

3. INTELLECTUAL PROPERTY

All content on the Websites, including text, graphics, logos, and software, is the property of Vital Care Links Ltd or Stackworx Ltd or content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works of any content without our prior written consent.

You must not, except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties, and except to the extent expressly permitted under these Terms:

• Attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Websites or Services and/or Documentation (as applicable) in any form or by any means;
• Attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Websites or Services;
• Access all or any part of the Websites or Services or Documentation in order to build a product or service which competes with the Websites or Services or Documentation;
• Use the Websites or Services or Documentation to provide services to third parties except as intended to provide health-related services to patient users;
• License, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Websites or Services or Documentation available to any third party except as covered by the Service Agreement; or
• Attempt to obtain, or assist third parties in obtaining, access to the Websites or Services or Documentation, other than as provided under these Terms to provide health-related service and advice to patient users.

You may only view, quote from and cite the Websites for your own personal, non-commercial use and on the condition that you give appropriate acknowledgement to us. 

For Subscribers, acceptable use of the Websites and Services is covered by a duly signed Service Agreement.

4. TRADE MARKS

We expressly reserve all rights in and to the https://vitalcarelinks.co.uk domain name and all related domains and sub-domains, the name "Vital Care Links", our logo, service marks, trading names and/or trade marks, including but not limited to “Book a Pharmacy”; “Book a Physio”; “Book a Dietitian”; “Book an Osteopath”; or other services as they roll out as part of the business in future. 

Other trade marks, products and company names mentioned on the Websites or via Services may be trademarks of their respective owners or licensors and the rights in such marks are reserved to their respective owners or licensors.

5. LINKING TO THE WEBSITES

You may link to any page of the Website, for non-commercial purposes provided that you do so in a way that is fair and legal and which does not damage our reputation or take unfair advantage of it. For the avoidance of doubt, the linking site must not contain any adult or illegal material or any material that is offensive, harassing or otherwise objectionable.

You must not link to the Websites in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not remove or obscure by framing or otherwise, advertisements, any copyright notice, or other information published on the Websites.

The Websites must not be framed or be subjected to any other browser or border environment on any other site.

If you would like to link to the Websites for commercial purposes or any purpose not included above, please contact us for further information..

We reserve the right to withdraw linking permission at any time and without notice.

7. THIRD PARTY CONTENT AND THIRD-PARTY WEBSITES

The Websites may contain advertising or marketing submitted by third parties. Such third parties are solely responsible for the content of such advertising and marketing and for ensuring that it complies with all relevant legislation and regulations. We do not accept any responsibility for the content of any third-party advertising.

The Websites contain links to third party websites (including those of our Subscribers). We are not responsible or liable directly or indirectly for the content, accuracy or opinions expressed in such websites or the standard of goods, services or advice available through or on such websites. Unless expressly stated otherwise, links do not imply that we are, or the Websites are, affiliated to or associated with such sites.

Our communication to you may contain information sourced from or provided by third parties. Material from a third-party site will be marked as such and a link to the source may be provided. We accept no responsibility or liability for any material supplied by or contained on any third-party website which is linked from our communications with you, or any use of personal data by such a third party.

The inclusion of any link or content in our communications with you does not imply endorsement by us of the linked site or product or service that it refers to. If you decide to access linked third-party websites or content, you do so at your own risk.

Please remember that when you use a link to go from the Websites to another website, our Terms (including our Privacy & Cookies Policy) will no longer be applicable. Browsing and interaction on any other website, including websites which are linked to ours, is subject to that website’s own terms and policies. Please read those terms and policies before proceeding.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, we will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of income, loss of revenue, loss of profits, loss of anticipated savings, loss of business, or loss of data, arising from your use of the Websites or Services, or in any way connected with the use of or performance of information, products, services or reliance on the contents of the Websites, even if we have been advised of the possibility of such damages. 

We exclude and disclaim all warranties, terms, conditions and representations that might otherwise be implied by law in relation to the Websites or Services. In particular, we do not represent or warrant that the Websites will be error-free, free of viruses or other harmful components, or that defects will be corrected. You must take your own precautions in this respect. 

In any event, we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Websites or Services.

We do not accept liability for any failure to maintain the Websites or Services and/or late or failed delivery of any Services.

We only provide the Websites and Services for domestic and private use, and you agree not to use the Websites or Services for any commercial or business purposes unless you are a Subscriber and in such circumstances only as per a duly signed Service Agreement.

The Websites or Service Agreement or other documentation may contain inaccuracies or typographical errors. We do not warrant the accuracy or completeness of the Websites or Service Agreement or other documentation.

We shall not be liable for any loss caused as a result of your actions or inactions based on the information available on the Websites or Service Agreement or other documentation. However, nothing in these Terms shall affect your statutory rights, and nothing in these Terms shall exclude our liability for death or personal injury arising through negligence, for fraud or fraudulent misrepresentation and/or anything else that cannot be excluded or limited by us under English law.

9. INDEMNIFICATION

You agree to indemnify us and hold us, our affiliates, officers, directors, and employees harmless from any claim, demand, or damages, including reasonable attorneys' fees, arising out of your use of the Websites or Services, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

10. DISCLAIMER

Information contained on the Websites and in our communication to you is for general information purposes only. Whilst we endeavour to keep information on the Websites up to date and correct, we make no representations or warranties of any kind, expressed or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the information, products, services or images on the Websites. Your use of any or all information, products and/or services must be based on your own due diligence and you should consult an appropriate professional for specific advice tailored to your needs and situation. Any reliance placed on such information is strictly at your own risk.

You must not rely on information contained on the Websites as an alternative to medical advice from your doctor or other professional healthcare provider. To the extent that you require medical advice, you should consult your doctor or other professional healthcare provider.

Websites that you are able to link to from the Websites are not under our control. We have no control over the nature, content and availability of those sites and will not be responsible for them. The inclusion of links does not necessarily imply a recommendation or endorsement of the views expressed within them.

11. LEGAL COMPLIANCE AND GOVERNING LAW

These Terms are governed by and construed in accordance with English laws, without regard to its conflict of law principles The English Courts will have non-exclusive jurisdiction over any claim or dispute arising from or related to these Terms, use of the Websites or Services.

12. COMPLAINTS 

We are committed to providing a high-quality web-based service. We recognise that there may be occasions when you may wish to complain about some aspect of the Websites or Services. 

If you are unhappy with the Websites or Service in any way, we would like to know. We will do everything we can to resolve your complaints to your satisfaction.

If you wish to speak to someone about an aspect relating to the Websites or Services, please try to do so as soon as possible. We will make every effort to resolve your complaint as quickly as possible. If your concerns are not resolved to your satisfaction, you will be advised to make a formal written complaint. 

All written complaints should be sent to support@vitalcarelinks.co.uk or to our registered address 4th Floor Radius House, 51 Clarendon Road, Watford, England, WD17 1HP. Please describe the nature of your complaint, including: 

  - What you are unhappy about, and 

  - The date and time the incident took place. 

Your complaint will be acknowledged in writing within two (2) working days of receipt, unless a full reply can be sent to you within five (5) working days. 

We will carry out a full investigation of the nature of your complaint in order to resolve the issue(s). You will receive a full written response within twenty (20) working days of the complaint being received. 

If a full response cannot be given within twenty (20) working days of receiving your complaint, we will write to you to explain the reason for the delay and agree further timescales. A full written response will be sent within five (5) days of a conclusion being reached.

We will never discriminate against patients or healthcare professionals for making a complaint. 

We will deal with all complaints confidentially and following investigation, will consider implementing changes to make improvements where necessary.
